THIS SUB-DEALER MANAGER AGREEMENT (this “Agreement”), dated as of June 7, 2023, is entered into between BentallGreenOak Real Estate US LLC, a Delaware limited liability company (the “Dealer Manager”), and Advisors Asset Management, Inc., a Delaware corporation (the “Sub-Dealer Manager”).
