This STOCK REPURCHASE AGREEMENT (this “Agreement’) is made and entered into as of November 6, 2023 (the “Effective Date”), by and between APOLLO MEDICAL HOLDINGS, INC., a Delaware corporation (the “Company”), and ALLIED PHYSICIANS OF CALIFORNIA, A PROFESSIONAL MEDICAL CORPORATION, a California professional medical corporation (the “Selling Stockholder” and together with the Company, the “Parties” and each a “Party”).
