THIS EXPENSE LIMITATION AGREEMENT (“Agreement”) is made and entered into effective as of the 31st day of January, 2020 by and between HILLMAN CAPITAL MANAGEMENT INVESTMENT TRUST, a Delaware statutory trust (the “Trust”), on behalf of its series, the Hillman Value Fund (f/k/a The Hillman Fund) (the “Fund”), and HILLMAN CAPITAL MANAGEMENT, INC., a Maryland corporation (the “Advisor”) with respect to the following:

THIS AGREEMENT is made and entered into as of this 1st day of October, 2016, by and between HILLMAN CAPITAL MANAGEMENT INVESTMENT TRUST, a Delaware statutory trust, having its principal office and place of business at 116 South Franklin Street, Rocky Mount, North Carolina 27804 (the “Trust”) and THE NOTTINGHAM COMPANY, a North Carolina corporation, having its principal office and place of business at 116 South Franklin Street, Rocky Mount, North Carolina 27804 (the “Administrator”).
