Pursuant to the above referenced Loan Agreement, Borrower issued a Convertible Promissory Note, dated April 22, 2005 (the “Note”) to Lender in the original principal amount of $375,000, which was convertible at a conversion price of $0.50 per share into 750,000 shares of common stock, par value $0.01 per share, of Borrower. Ignis Petroleum Group, Inc., f/k/a Sheer Ventures, Inc. Reference is made to that certain letter agreement dated April 22, 2005 (the "Agreement"), by and between Ignis Petroleum Corporation ("Ignis") and Newton Properties, Inc. This Participation Agreement ("Agreement") is made and entered into effective as of the 14th day of June, 2005 ("Effective Date"), by and between Kerr-McGee Oil & Gas Onshore LP, d/b/a KMOG Onshore LP (hereinafter "Kerr-McGee") and Ignis Petroleum Corporation, (hereinafter "Participant"). Kerr-McGee and Participant are sometimes hereinafter referred to, individually, as a "Party" and, collectively, as the "Parties".
