THIS SALES AGENCY AGREEMENT (the “Agreement”) is entered into as of March __, 2011, (the “Effective Date”) by and between GREEN ENERGY MANAGEMENT SERVICES, INC., a Delaware corporation (the “Company”) and ENERGY SALES SOLUTIONS, LLC, a Florida limited liability company or its designee (“Sales Representative”). The Company and Sales Representative are sometimes referred to herein collectively as the “Parties” and individually as a “Party.”

This Settlement Agreement (the “Settlement”) is made and entered into as of the 26th day of March 2011, by and between Titan Management and Consulting, L.L.C. (hereafter collectively “Titan”); Anthony Corso individually, and; Green Energy Management Services, Inc. (hereafter “GEM”). Titan, GEM and Mr. Corso are hereinafter sometimes collectively referred to as the “Parties.”

The Company and the Consultant shall each hereinafter be referred to individually as a “Party” and collectively as the “Parties”.
