MANAGEMENT AND SERVICES AGREEMENT dated as of February 28, 2014 between Integral Technologies, Inc. ("Integral"), at 805 W. This Amended and Restated Agreement ("Agreement") is entered into by and between Integral technologies, Inc., a Nevada corporation, (the "Employer") on behalf of itself, its subsidiaries and other corporate affiliates and each of their respective employees, officers, directors, owners, shareholders and agents (collectively referred to herein as, the "Employer Group"), and Bill Robinson (the "Employee") (the Employer and the Employee are collectively referred to herein as the "Parties") dated as of May 1, 2014 and effective as of November 8, 2012 (the "Execution Date").
