THIS AGREEMENT AND PLAN OF MERGER (as may be amended from time to time, this “Agreement”) is made this 27th day of April, 2007, by and among NUVOTEC usa, Inc., a Washington corporation (the “Company”); PACIFIC ECOSOLUTIONS, INC., a Washington corporation and wholly owned subsidiary of the Company (“PEcoS”); PERMA-FIX ENVIRONMENTAL SERVICES, INC., a Delaware corporation (the “Parent”); and PESI TRANSITORY, INC., a Washington corporation (“Merger Sub”).
