THIS NONQUALIFIED STOCK OPTION AGREEMENT is made effective as of the ____ day of ___________ 20__ by and between Collexis Holding, Inc., a Nevada company (the "Company") and ___________, a resident of the State of ___________, USA (the "Optionee") (together, this agreement and the Statement of Terms and Conditions and Schedules attached hereto shall constitute and be referred to as the "Agreement"). This Agreement represents a restatement of the Option originally granted by Collexis B.V. on ____ day of ____________, 20__, as adjusted in accordance with the terms of that Option. Capitalized terms and phrases shall have the meaning ascribed thereto in this Agreement.
