THIS EMPLOYMENT AGREEMENT (“Agreement”) is made and entered into as of the 28th day of November, 2007 and effective as of the 1st day of January, 2008 (the “Effective Date”), by and between Epoch Holding Corporation (the “Company”) and William W. Priest (“Executive”). Where the context permits, references to the “Employer” shall include the Company and any successor entities thereto. Capitalized terms used and not otherwise defined herein shall have the meanings set forth in Section 9 herein.
