THIS SECOND AMENDED AND RESTATED REIMBURSEMENT AGREEMENT (this "Agreement") is made as of this 24th day of January, 2008 by and among between Thompson Investment Management, Inc., a Delaware Corporation ("TIM" or the "Adviser"), and Thompson Plumb Funds, Inc., a Wisconsin corporation and registered open-end management investment company (the "Company"), on behalf of its various mutual fund series (the "Funds").

This Amended and Restated Agreement is made and effective as of this 31st day of March, 2008, between U.S. Bancorp Fund Services, LLC (“USBFS”), a Wisconsin limited liability company, and Thompson Investment Management, Inc. (“Service Provider”), a Delaware corporation, and has the effect of superseding and replacing the Service Agreement dated July 26, 2007, between USBFS and Service Provider.
