Whereas Party A has the sole ownership and right to use the health products production Equipment referred to in this Agreement and desires to lease this Equipment (the “Leased Equipment”) to Party B and Party B desires and agrees to rent the Leased Equipment; therefore, in accordance with the applicable laws and regulations and through good faith negotiations, Party A and Party B agree the following provisions, which shall be observed by each of the parties:

The Borrower agrees to pay interest on the balance, as of June 30, 2007, of the Lender’s Other Receivables-related parties that originated from the Borrower and were transferred from the Lender’s Accounts Receivable - related parties. The related terms are stipulated as follows:

Group and Biological have entered into a Real Property Transfer Agreement (the “Transfer Agreement”) dated December 14, 2007 pursuant to which Biological is transferring certain buildings (the “Buildings”) and land use rights to Group. Pursuant to the Transfer Agreement, Group has agreed to allow Biological to continue to use and occupy certain of the Buildings, as specified on Exhibit A (collectively, the Leased Buildings”).

Group and Biological sign this agreement whereby Biological uses Group’s premise and relevant facilities on the basis of equality, mutual benefit, honesty and friendly negotiation. Both parties shall observe this agreement.

After sufficient negotiations, Party A and Party B agree to make the following amendments to the “Lease Agreement for Health Products production Workshops” (the “Lease Agreement”) which was entered into by Party A and Party B in Wuqing Tianjin on the 31st day of October 2007.
