THIS INVESTMENT ADVISORY AGREEMENT (the “Agreement”), dated as of March 31, 2008, between the Investment Managers Series Trust, a Delaware statutory trust (the “Trust”), on behalf of its series the ThinkGrowth Fund, ThinkGlobal Fund, and ThinkGreen Fund (each a “Fund”, collectively the “Think Funds”), and ThinkCapital Management, LLC, a Delaware limited liability corporation (the “Advisor”).
