This Exchange Agreement (the “Agreement”) is entered into as of this 18th day of April, 2008 by and among Global Clean Energy Holdings, Inc., a Utah corporation (the "Company"), and Mercator Momentum Fund, L.P., Mercator Momentum Fund III, L.P., and Monarch Pointe Fund, Ltd.
