This STOCK PURCHASE AGREEMENT, dated as of November 21, 2008 (this “Agreement”), is by and among National Investment Managers Inc., a Florida corporation (the “Purchaser”), The Pension Group, Inc., a California corporation (the “Company”), Peter R.
