This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into this 11th day of February, 2009, between New York Mortgage Trust, Inc., a Maryland corporation (the “Company”), and Steven R. Mumma (the “Executive”). This Agreement amends, restates and supersedes in all respects that certain Employment Agreement, dated as of the 18th day of January, 2008, by and between the Company and the Executive.
