THIS AGREEMENT, with Effective Date of January 5, 2009, is made by and amongst Patient Safety Technologies, Inc., a Delaware Corporation, (the “Company”), having its principal offices at 43460 Ridge Park Drive, Suite 140, Temecula, CA 92590, and David I. Bruce (“Executive”).

This AMENDMENT AND EARLY CONVERSION OF SECURED CONVERTIBLE PROMISSORY NOTE (this “Agreement”), dated as of September 5, 2008, is executed by and between Patient Safety Technologies, Inc., a Delaware corporation (the “Borrower”), and Ault Glazer Capital Partners, LLC, a Delaware limited liability company (the “Lender”), and amends that certain Secured Convertible Promissory Note in favor of the Lender, dated August 10, 2007, in the original principal amount of $2,530,558.40 (the “Note”).

Effective as of July 14, 2008, the Employee will become your employee serving in the capacity set forth above. The Employee will work on a full-time basis and be subject to the supervision, direction and control of and report directly to the Company’s management. While the Employee will remain a member of Tatum and have access to Tatum’s intellectual capital to be used in connection with the Employee’s employment relationship with you, we will have no supervision, direction or control over the Employee with respect to the services provided by the Employee to you.
