THIS SUBSCRIPTION AGREEMENT (this “Subscription Agreement”) dated as of July 27, 2009 is made by and among the undersigned subscriber or subscribers (the “Purchaser”), Bank of Smithtown, a New York state-chartered bank (the “Bank”), and Smithtown Bancorp, Inc., a corporation organized under the laws of the State of New York (the “Company”, and together with the Bank, the “Offerors”).
