THIS SECURITIES PURCHASE AND EXCHANGE AGREEMENT is made and entered into as of September 8, 2009, by and among North Shore Acquisition Corp., a Delaware corporation (“NSAQ”), Sungdong Industries Co. Ltd., a Korean company (“SDI”), Hwi Young Jung (“Stockholder”) and Hong Jun Jung (“Pledgor”).
