Williams Opportunity Fund, LLC, a Georgia limited liability company (the “Investor”) and Preferred Apartment Advisors, LLC (the “Manager”) are entering into this letter agreement (this “Agreement”), dated July 29, 2010 (the “Effective Date”), in connection with the execution of the Subscription Agreement dated as of the Effective Date (the “Subscription Agreement”), among Preferred Apartment Communities, Inc. (the “Company”), the Manager, Preferred Apartment Communities Operating Partnership, L.P. (“PAC LP”), and the Investor.
