This AMENDMENT NO. 1 TO the Amended and Restated RESERVE EQUITY FINANCING AGREEMENT, dated as of January 18, 2010 (this "Amendment"), is entered into by and between Neah Power Systems, Inc., a Nevada corporation (the “Company”), and AGS Capital Group, LLC, a New York limited liability corporation (“AGS” or the “Investor”).
