The Securities are being offered by the Company through its executive officers on an ongoing, continuous, “best efforts” basis. The Securities are not being sold through commissioned sales agents or underwriters. There is no minimum purchase requirement. There is no arrangement to place funds in an escrow, trust, or similar account and all subscription deposits will be paid directly to the Company.
