This Committed Equity Facility Agreement (the “Agreement”) is dated as of the 27th day of February, 2012 the (“Effective Date”) by and between TCA GLOBAL CREDIT MASTER FUND, LP, a Cayman Islands limited partnership (the “Investor”) and CONO ITALIANO, INC., a Nevada corporation (the “Company”).
