THIS SUBSCRIPTION AGREEMENT (this “Subscription Agreement”) is dated as of January 10, 2013, by and between Kingold Jewelry, Inc., a Delaware corporation (the “Company”), and the subscribers named on the signature pages and on Schedule A hereto (each, a “Subscriber” and collectively, the “Subscribers”).

FOR VALUE RECEIVED, Kingold Jewelry, Inc., a corporation organized and existing under the laws of the State of Delaware (the “Company”), hereby grants to ___________ or its registered assigns (the “Holder”) the right to purchase from the Company, ______________ shares of the Company’s Common Stock (the “Warrant Shares”) at a price per share equal to the Exercise Price (as adjusted from time to time in accordance herewith). Certain capitalized terms used herein are defined in Section 5 hereof. The amount and kind of securities obtainable pursuant to the rights granted hereunder and the purchase price for such securities are subject to adjustment pursuant to the provisions contained in this Warrant.
