THIS SEVERANCE AGREEMENT, dated as of October 24, 2013, (the “Agreement”) is between Perceptron, Inc. (the “Company”) and Jeffrey M. Armstrong, who will be employed by the Company in the position of President and Chief Executive Officer (the “Executive”) effective November 4, 2013.
