THIS EXCHANGE AGREEMENT (the “Agreement”) is dated as of November 20, 2015, by and between Monaker Group, Inc. (formerly known as Next 1 Interactive, Inc.), a Nevada corporation, with headquarters located at 2690 Weston Road, Weston, Florida 33331 (the “Company”) and Monaco Investment Partners II, LP with a residence located at 201 Secretariat Court, Wheaton, IL 60189 (the “Noteholder”).
