THIS EXCHANGE AGREEMENT (the “Agreement”) is dated February 8, 2017, by and between Cinedigm Corp., a Delaware corporation (the “Company”), BlueMountain Equity Alternatives Master Fund L.P., a Cayman Islands exempted limited partnership (“BMEA”), BlueMountain Logan Opportunities Master Fund L.P., a Cayman Islands exempted limited partnership (“BMLO”), Blue Mountain Credit Alternatives Master Fund L.P., a Cayman Islands exempted limited partnership (“BMCA”), BlueMountain Montenvers Master Fund SCA SICAV-SIF, a Luxembourg corporate partnership limited by shares (“BMMF”), and BlueMountain Foinaven Master Fund L.P., a Cayman Islands exempted limited partnership (“BMFV” and, collectively with BMEA, BMLO, BMCA, and BMMF, the “Holders” and each, a “Holder”).
