THIS EMPLOYMENT AGREEMENT (“Agreement”) is entered into as of March 7, 2019, by and between Gary H. Rabin (“Rabin”), and Immune Pharmaceuticals Inc ("Company"). Company desires to engage Rabin as President and Interim Chief Executive Officerto provide certain services to Company as more particularly set forth in Exhibit A attached hereto and made a part hereof (the “Services”). The parties desire to set forth, in writing, the terms and conditions concerning the engagement.
