THIS FUND SERVICES AGREEMENT (the “Agreement”) effective as of the 30th day of April, 2012, by and between MUTUAL FUND SERIES TRUST, an Ohio business trust having its principal office and place of business at 630 Fitzwatertown Rd., Building A, 2nd Floor, Willow Grove, PA 19090 (the "Trust") and GEMINI FUND SERVICES, LLC, a Nebraska limited liability company having its principal office and place of business at 17605 Wright Street, Suite 2, Omaha, Nebraska 68130 (“GFS”). This Agreement replaces and supersedes all prior understandings and agreements between the parties hereto for the services described below.

You have engaged us to act as the sole investment adviser to the Catalyst Funds listed on Exhibit A (each a “Fund” and together the “Funds”) pursuant to a Management Agreement dated as of July 31, 2006 (the “Agreement”) as amended as of May 13, 2013.
