THIS AGREEMENT is made as of August 31, 2014, between Meyers Capital Investments Trust (the “Trust” and/or Investment Company “IC”, or “Fund”), an Ohio business Trust, and Meyers Capital Management Group LLC. the Registered Investment Advisor (the “RIA”), a limited liability company organized and existing under the laws of the State of Ohio, and Arbor Court Capital, LLC (“ACC”), a limited liability company organized and existing under the laws of the State of Ohio.

Arbor Court Capital, LLC, (the “Distributor”) invites you, as a selected dealer, to participate as principal in the distribution of shares (the “Shares”) of the Meyers Capital Investments Trust (the “Fund”), of which it is the exclusive underwriter. The Distributor agrees to sell to you, subject to any limitations imposed by the Fund or any of its Portfolios (see Exhibit A), Shares issued by the Fund and to promptly confirm each sale to you.
