This Agreement is made and entered into effective April 28, 2016, by and between the Kimberlite Floating Rate Financial Services Capital Fund (the “Fund”), a series of shares of the Kimberlite Investment Trust, a Delaware statutory trust (the “Trust”) and Kimberlite Asset Management, LLC, a Delaware limited liability company (the “Adviser”). This Agreement amends and restates any and all prior expense limitation agreements with respect to the Fund.
