FIRST Amendment to EXCHANGE AGREEMENT (this “Amendment”) dated as of December 22, 2014, by and between Heritage Oaks Bancorp, a California corporation (the “Company”), and Castle Creek Capital Partners IV, LP, a Delaware limited liability partnership (the “Investor”).
