This Amended and Restated Asset Purchase Agreement (the “Agreement”) is made and entered into as of February 28, 2015 by and between MD Energy, LLC, a Nevada limited liability company, which has a mailing address at 9291 9th Street, Rancho Cucamonga, California 91730 (“MDE” or “Seller”), Daniel J. Mitchell and Andrea C.
