THIS AMENDED and RESTATED FUND PARTICIPATION AGREEMENT is made as of May 1, 2004, between Access Variable Insurance Trust, an open-end management investment company organized as an Ohio business trust (the “Trust”), and Western Reserve Life Assurance Co. of Ohio, a life insurance company organized under the laws of the State of Ohio (the “Company”), on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A, as the parties hereto may amend it from time to time (the “Accounts”) (individually, a “Party”, and collectively, the “Parties”).

THIS THIRD AMENDMENT TO PRINCIPAL UNDERWRITING AGREEMENT made and effective as of the 1st day of May, 2004, by and between AFSG SECURITIES CORPORATION (“AFSG”), a Pennsylvania corporation, and WESTERN RESERVE LIFE ASSURANCE CO. OF OHIO (“WRL”), an Ohio corporation, on its own behalf and on behalf of the separate investment accounts of WRL set forth in Exhibit A attached hereto and made a part hereof (collectively, the “Account”).
