This Stock Purchase Warrant is issued in connection with that certain Securities Purchase Agreement dated January 20, 2004 by and among LITHIUM TECHNOLOGY CORPORATION, a Delaware corporation (the “Company”), and certain Buyers named therein (the “Securities Purchase Agreement”). Capitalized terms used herein, but not otherwise defined, shall have the meaning given to them in the Securities Purchase Agreement.
