This letter confirms our understanding and agreement with respect to your position the day after the “Effective Time” as defined in the Agreement and Plan of Merger among Teleglobe Bermuda Holdings Ltd (f/k/a Teleglobe International Holdings Ltd), Teleglobe International Holdings Ltd (f/k/a Teleglobe Bermuda Holdings Ltd) (“TIHL”) (pursuant to a joinder agreement), Vex Merger Subsidiary Corp. and ITXC Corp., dated as of November 4, 2003, as amended.
