THIS AMENDED AND RESTATED SEVERANCE AGREEMENT (this “Agreement”) is made and entered into this 21st day of October, 2004 by and among Prime Group Realty Trust, a Maryland real estate investment trust (“PGRT”), Prime Group Realty, L.P., a Delaware limited partnership and the operating partnership for PGRT (“Prime”) (Prime and PGRT are hereinafter sometimes collectively referred to as “Employer”), and Paul Del Vecchio, an individual domiciled in the State of Wisconsin (“Executive”).
