This Change of Control Severance Agreement (the “Agreement”) is made and entered into effective as of January 11, 2006 (the “Effective Date”), by and between Pamela R. Contag, Ph.D., (the “Employee”) and Xenogen Corporation, a Delaware corporation (the “Company”). Certain capitalized terms used in this Agreement are defined in Section 1 below.

This Severance Agreement (the “Agreement”) is made and entered into effective as of January 11, 2006 (the “Effective Date”), by and between David W. Carter (the “Employee”) and Xenogen Corporation, a Delaware corporation (the “Company”). This Agreement amends, restates and supersedes the Employment Agreement between the Employee and the Company dated January 21, 1998 (the “Employment Agreement”) in its entirety. Certain capitalized terms used in this Agreement are defined in Section 1 below.
