This letter agreement (the “Agreement”) sets forth the terms and conditions under which Power Efficiency Corporation (collectively with its subsidiaries and affiliates, “Client”) engages USBX Advisory Services, LLC (“USBX”) to provide services in an effort to facilitate a Strategic Alliance and/ or a Transaction (as each is defined below) between Client and any person or entity. For purposes hereof, “Strategic Alliance” shall mean any distribution, licensing or other arrangement, whether exclusive or not, entered into by Client with any third party for the purpose of increasing the sales and distribution of the Company’s products, technologies and services.
