This SHARED FACILITIES AND SERVICES AGREEMENT (this “Agreement”), dated as of January 31, 2006, is entered into by and between COHEN BROTHERS, LLC, a Delaware limited liability company (“Cohen Bros.”), and COHEN BROTHERS MANAGEMENT, LLC, a Delaware limited liability company and subsidiary of Cohen Bros. (the “Manager”).

Reference is made to that certain Management Agreement, dated as of January 31, 2006, (the “Management Agreement”) by and between Alesco Financial Trust (the “Company”) and Cohen Brothers Management, LLC (the “Manager”), a wholly owned subsidiary of Cohen Brothers, LLC (“Cohen Bros.”).
