This Amended and Restated Severance Agreement (“Agreement”) is made as of February 8, 2007 by and between I-many, Inc., a Delaware corporation having its principal place of business at 399 Thornall Street Edison, New Jersey 08837 (the “Company”), and Robert G. Schwartz, Jr., a resident of (“Executive”). This Agreement amends and restates the Severance Agreement dated April 7, 2006 between the parties.
