AMENDMENT NO. 3, dated as of May 2, 2007 (this “Amendment”) to the Credit and Guaranty Agreement, dated as of May 18, 2005, as modified by Amendment No. 1 dated as of February 8, 2006 and by Amendment No. 2 dated as of December 22, 2006 (as so amended, the “Credit Agreement”), by and among Xerium Technologies, Inc.
