This AMENDED EMPLOYMENT AGREEMENT (this “Agreement”) is entered into effective as of this day of , 2007, by and among W. Swope Montgomery, Jr. (the “Executive”), BNC Bancorp, a North Carolina corporation (the “Corporation”), and Bank of North Carolina, a North Carolina-chartered bank and wholly owned subsidiary of the Corporation (the “Bank”). The Corporation and the Bank are hereinafter sometimes referred to together or individually as the “Employer.”

This AMENDED ENDORSEMENT SPLIT DOLLAR AGREEMENT (this “Agreement”) is entered into as of this day of , 2007, by and between Bank of North Carolina, a North Carolina-chartered bank (the “Bank”), and Ralph N. Strayhorn III, an executive of the Bank (the “Executive”). This Agreement shall append the Split Dollar Policy Endorsement entered into on even date herewith or as subsequently amended, by and between the aforementioned parties.
