THIS INDEMNITY AGREEMENT (this “Agreement”) is made as of , 2008, by and between Mentor Graphics Corporation, an Oregon corporation (the “Company”), and (“Indemnitee”).

On , you entered into a letter agreement with Mentor Graphics Corporation (the “Corporation”) regarding compensation and benefits arrangements in connection with a Change in Control (as defined herein), and you and the Corporation amended and restated such letter agreement on (as amended, the “Prior Agreement”). You and the Corporation now desire to make certain changes to the Agreement in order to modify the benefits provided thereunder as well as to reflect recent changes affecting the taxation of deferred compensation arrangements under Section 409A of the Internal Revenue Code of 1986, as amended (the “Code”). Accordingly, you and the Corporation have agreed to amend and restate the Prior Agreement as set forth below (the “Agreement”) as of August 10, 2008 (the “Effective Date”).
