This Second Amended and Restated Employment Agreement (this “Agreement”) is dated October 22, 2008 and is effective as of August 27, 2008 (the “Effective Date”), by and between Nobel Learning Communities, Inc., a Delaware corporation (“Nobel Learning”) and George Bernstein, an individual (“Executive”), and amends and restates that certain Amended and Restated Employment Agreement dated April 12, 2007 as further amended on May 8, 2008.
