This Asset Purchase Agreement (this “Agreement”) is made and entered into this 18th day of March, 2009 by and among M/A-COM RFID Inc. (“Seller”), a Delaware corporation, solely for the purposes of Section 5.3 and Section 5.9, Cobham Defense Electronic Systems Corporation, a Massachusetts corporation (“CDES”), solely for the purposes of Section 5.10 and Article VI, Cobham Defense Electronic Systems—M/A-COM Inc. (“Shareholder”) and Micronetics, Inc. a, Delaware corporation (“Purchaser”).
