Reference is made to the Deposit Agreement, dated as of September 16, 1998 (the “Deposit Agreement”), by and among ORIX Corporation (the “Company”), Citibank, N.A., as Depositary (the “Depositary”), and all Holders and Beneficial Owners from time to time of American Depositary Receipts (“ADRs”) evidencing American Depositary Shares (“ADSs”) issued thereunder, two (2) ADS representing One (1) Share (the “Shares”) of the Company. Capitalized terms used herein without definition shall have the meaning assigned thereto in the Deposit Agreement.
