THIS RESTRICTED SHARE UNIT AGREEMENT (this “Agreement”), dated as of September 1, 2009, is entered into between HARMAN INTERNATIONAL INDUSTRIES, INCORPORATED, a Delaware corporation (the “Company”), and Dinesh Paliwal (“Grantee”).
