This Distribution Agreement (the “Agreement”) is made as of the 31st day of March, 2009 by and between Bridgeway Funds, Inc., a Maryland corporation that acts as an open-end investment company, with its principal office and place of business at 5615 Kirby Drive, Suite 518, Houston, Texas 77005 (the “Client”), and Foreside Fund Services, LLC, a Delaware limited liability company, with its principal office and place of business at Three Canal Plaza, Portland, Maine 04101 (“Foreside”).

This Administrative Services Agreement (the “Agreement”) is made by and between Bridgeway Capital Management, Inc., a Texas corporation (the “Administrator”), and Bridgeway Funds, Inc., a Maryland corporation (the “Company”), on behalf of each of its series listed on the attached Schedule A (each a “Fund” or collectively, the “Funds”), as such Schedule A is amended from time to time. This Agreement amends and restates in its entirety the Administrative Services Agreement previously entered into between the Administrator and the Company dated March 1, 2007 (as further amended on August 17, 2007).

As the distributor of the shares (“Shares”) of each investment company portfolio (“Fund”), of the investment company or companies referenced above and covered hereunder (collectively, “Company”) which may be amended by us from time to time, Foreside Fund Services, LLC (“Distributor”) hereby invites you to participate in the selling group on the following terms and conditions. In this letter, the terms “we,” “us,” and similar words refer to the Distributor, and the terms “you,” “your,” and similar words refer to the dealer executing this agreement, including its associated persons.
