Thrivent Mutual Funds (“TMF”) and Thrivent Asset Management, LLC (“TAM”) hereby agree that, effective June 1, 2009, the advisory fees charged to Thrivent Aggressive Allocation Fund, Thrivent Moderately Aggressive Allocation Fund, Thrivent Moderate Allocation Fund and Thrivent Moderately Conservative Allocation Fund, under the terms of the Investment Advisory Agreement dated January 1, 2006 between TMF and TAM, will be revised, as reflected in Exhibit A.
