This Severance Agreement (“Agreement”) is entered into, as of February 17, 2010, among Pioneer Natural Resources Company, a Delaware corporation (“Parent”), Pioneer Natural Resources UK Limited (“Employer”) and David McManus (“Employee”). As used henceforth in this Agreement, the term “Company” shall be deemed to include Parent and its direct or indirect majority-owned subsidiaries.
